Loyalty Program Terms and Conditions Update - Effective October 10, 2024
The following changes apply to Renaud's Patisserie & Bistro Loyalty Program, operated by Renaud's Bakery and Bistro, Inc., d.b.a. Renaud's Patisserie & Bistro, A California Corporation ("Company"). By continuing to participate in the Loyalty Program, you agree to these updated terms and conditions:

Point Value Adjustment: Effective October 10, 2024, point values will change to $0.05 per point. This adjustment will not alter the manner in which points are earned. The earning rate remains at one point per $1 spent on qualifying purchases.

Point Balance Adjustment for Existing Members: All members with a redeemable point balance (a balance of 50 points or more) as of 12:01 AM PST on October 10, 2024, will have their point balance doubled to maintain the original value of their points. Members with fewer than 50 points as of this date will not receive an adjustment, and their points will be subject to the new, point value. This adjustment may take 3-5 days to appear in member's Loyalty Account balance.

Point Redemption Changes: The minimum redemption threshold is now 100 points (equivalent to $5.00), and points can be redeemed in $5 increments up to a maximum of $5 per transaction. Points may only be redeemed in-store and cannot be applied to pre-orders, catering, special orders, events, or any other excluded items, which the Company reserves the right to modify or expand at its sole discretion without notice.

Program Modifications and Termination: The Company reserves the right to modify, suspend, or terminate the Loyalty Program, or any aspect thereof, including but not limited to point value, redemption terms, earning criteria, or eligibility, at any time, with or without notice. Such changes may apply to points already accrued. Participation in the Loyalty Program constitutes acceptance of any such changes.

No Transfer or Cash Value: Points have no cash value and cannot be transferred, sold, or bartered. Points may only be redeemed for eligible products at participating Renaud's Patisserie & Bistro locations. In jurisdictions where the law requires cash value for points, such value shall not exceed $0.0001 per point.

Limitations of Liability: The Company disclaims any and all liability for the operation of the Loyalty Program, including any errors, omissions, or delays in the calculation of points, redemption of points, or for the availability of points. The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Loyalty Program, even if advised of the possibility of such damages.

Governing Law and Dispute Resolution: These terms and conditions are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising out of or relating to the Loyalty Program shall be resolved exclusively through binding arbitration in Santa Barbara County, California, in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding.

Right to Terminate Participation: The Company reserves the right to suspend or terminate a member’s participation in the Loyalty Program for any reason, including but not limited to fraudulent activity, abuse of program privileges, or failure to comply with these terms. All decisions regarding membership status are final and made at the Company’s sole discretion.

Miscellaneous: If any provision of these terms is found to be unlawful, void, or unenforceable, that provision shall be severed from the remaining terms, which shall remain in full force and effect. The Company’s failure to enforce any provision shall not be deemed a waiver of that or any other provision.
